Biography
Matthew D. Massar is a partner who advises business owners, investors, developers, brokers, entrepreneurs, and landowners on commercial real estate, oil and gas, and business matters throughout Texas. His practice encompasses the acquisition, development, financing, leasing, and disposition of commercial real estate, farm and ranch transactions, as well as business formation, governance, acquisitions, and related transactional matters.
Drawing on both his legal experience and business background, Matthew approaches every matter from a practical perspective. Clients rely on him not only to identify legal risks, but also to develop efficient, business-minded solutions that help them complete transactions, protect assets, and achieve their long-term objectives. Whether representing a commercial real estate investor, advising a closely held business, or assisting a family with succession planning, Matthew is committed to providing practical legal counsel tailored to each client’s goals.
Before entering private practice, Matthew earned a Bachelor of Business Administration from Baylor University’s Hankamer School of Business before receiving his Juris Doctor from St. Mary’s University School of Law, where he served on The Scholar Law Review and was a member of Phi Delta Phi Legal Honor Society.
Matthew is licensed to practice law in Texas and Oklahoma, is admitted to the United States District Court for the Southern District of Texas, and is a Certified Texas Mediator. He is an active member of the College of the State Bar of Texas and the Real Estate, Probate & Trust Law Section of the State Bar of Texas, and has been recognized by several legal and professional organizations for his work in commercial real estate, energy, and business law.

Representative Experience
- Represents commercial real estate investors, brokers, developers, and business owners in the acquisition, disposition, financing, leasing, and ongoing operation of commercial properties throughout Texas and Oklahoma.
- Negotiates office, retail, industrial, and ground leases on behalf of commercial landlords and tenants.
- Advises landowners regarding the acquisition, development, and disposition of ranch, agricultural, and investment properties.
- Counsels landowners in negotiating oil and gas leases, pipeline easements, surface use agreements, conservation easements, and other agreements affecting the ownership, development, and long-term use of Texas real property.
- Guides closely held businesses through entity formation, corporate governance, shareholder and operating agreements, ownership restructurings, and ongoing legal matters.
- Represents entrepreneurs and business owners in the purchase and sale of privately held businesses, including asset and equity transactions, and serves as ongoing outside counsel on business and operational matters.
- Develops estate and business succession plans for business owners, professionals, and families designed to preserve wealth and facilitate ownership transitions, which includes assisting clients with complex probate and trust administration matters involving closely held businesses and real estate assets.
- Serves as outside general counsel to privately held businesses, providing ongoing legal advice across real estate, contracts, employment, governance, and strategic planning matters.
